Terms of Service

Agreement to Terms

By accessing or using ZiraSoftware's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Services

ZiraSoftware provides digital design and development services including but not limited to brand strategy, web design, development, and consulting. The specific scope of work for each project will be outlined in a separate project agreement or statement of work.

Project Agreements

Each project will be governed by:

• •A detailed scope of work outlining deliverables and timelines
• •Agreed-upon pricing and payment terms
• •Project milestones and approval processes
• •Communication protocols and response times

Payment Terms

Unless otherwise agreed in writing:

• •A 50% deposit is required before work begins
• •The remaining balance is due upon project completion
• •Invoices are payable within 14 days of receipt
• •Late payments may incur interest charges of 1.5% per month
• •Work may be paused for accounts over 30 days past due

Intellectual Property

Upon receipt of final payment, all rights to the final deliverables will be transferred to the client. ZiraSoftware retains the right to use completed projects in portfolios and marketing materials unless otherwise agreed. Any pre-existing intellectual property or third-party assets remain the property of their respective owners.

Client Responsibilities

Clients are responsible for:

• •Providing timely feedback and approvals
• •Supplying necessary content, materials, and assets
• •Ensuring they have rights to all provided materials
• •Making timely payments as agreed
• •Maintaining clear communication throughout the project

Revisions

Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions beyond the agreed scope may incur additional charges. Requests for revisions must be provided in writing within the agreed timeframe.

Project Timeline

Project timelines are estimates based on the agreed scope and client responsiveness. Delays in client feedback or provision of materials may extend the timeline accordingly. We will communicate any anticipated delays as early as possible.

Cancellation

Either party may cancel a project with written notice. Clients are responsible for payment of all work completed up to the cancellation date. Deposits are non-refundable but will be applied to work completed.

Limitation of Liability

ZiraSoftware's liability shall not exceed the total amount paid for the specific project in question. We are not liable for any indirect, incidental, or consequential damages arising from our services.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives the termination of the agreement.

Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
